End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Universal Remote ("Licensor," "we," "us," or "our") for the use of the Universal Remote application ("Application") available through Apple's App Store. By downloading, installing, or using the Application, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the Application.
1. License Grant
Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on Apple-branded devices that you own or control, in accordance with Apple's App Store Terms of Service and the Usage Rules set forth therein.
2. License Restrictions
You may not:
- Copy, modify, or distribute the Application or any portion thereof
- Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Application, except to the extent permitted by applicable law
- Rent, lease, lend, sell, sublicense, or otherwise transfer the Application or any rights therein to any third party
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Application
- Use the Application for any purpose that is illegal, harmful, or in violation of any applicable laws or regulations
- Use the Application to control devices that you do not own or do not have authorization to control
- Attempt to bypass or circumvent any technical limitations or security measures in the Application
- Use the Application in any way that could damage, disable, overburden, or impair any server, network, or system connected to the Application
3. Intellectual Property
The Application and all copies thereof are proprietary to Universal Remote and title thereto remains in Universal Remote. All rights in the Application not specifically granted in this EULA are reserved to Universal Remote. The Application is protected by copyright laws and international treaty provisions. You acknowledge that the Application contains valuable trade secrets and confidential information belonging to Universal Remote.
Third-party trademarks, brand names, and logos appearing in the Application are the property of their respective owners and are used for identification and compatibility purposes only. Their use does not imply endorsement, sponsorship, or affiliation.
4. Subscription and In-App Purchases
The Application offers premium features through auto-renewable subscriptions and a one-time lifetime purchase processed by Apple's App Store. Subscription terms, pricing, free trial terms, auto-renewal, cancellation, and refund policies are governed by our Terms of Service and Apple's App Store policies.
5. Third-Party Services
The Application integrates with and relies upon the following third-party services:
- Apple App Store: For distribution, subscription management, and payment processing
- Firebase (Google): For analytics, crash reporting, remote configuration, and cloud messaging
- RevenueCat: For subscription management and entitlement verification
- Meta (Facebook): For advertising attribution and app event analytics
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of third-party service providers.
6. Privacy
Your use of the Application is subject to our Privacy Policy available at universaltv.app/privacy. The Privacy Policy describes how we collect, use, and protect your information. By using the Application, you consent to the collection and use of information as described in the Privacy Policy.
7. Local Network Communication
The Application communicates with Smart TVs and streaming devices on your local WiFi network. This communication occurs directly between your device and your TV without passing through our servers. You are responsible for ensuring that you have the right and authorization to control any device you connect to through the Application. The Application requires local network access permission on iOS to function.
8. Updates
We may from time to time issue updates, patches, or new versions of the Application. Updates may be required for continued use of the Application. You agree that we may automatically deliver updates to the Application through the App Store. If you do not wish to receive updates, you may discontinue use of the Application.
9. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE APPLICATION WILL MEET YOUR SPECIFIC REQUIREMENTS
- THE APPLICATION WILL BE COMPATIBLE WITH ALL TV MODELS, FIRMWARE VERSIONS, OR NETWORK CONFIGURATIONS
- THE APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM USE OF THE APPLICATION WILL BE ACCURATE OR RELIABLE
- ANY ERRORS IN THE APPLICATION WILL BE CORRECTED
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIVERSAL TV REMOTE + BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF UNIVERSAL TV REMOTE + HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
11. Indemnification
You agree to defend, indemnify, and hold harmless Universal Remote from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Application or your violation of this EULA.
12. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control.
13. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and destroy all copies in your possession. Sections 3, 6, 9, 10, 11, and 14 shall survive termination.
14. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
15. Apple-Specific Terms
This EULA is between you and Universal Remote only, and not with Apple. Universal Remote, not Apple, is solely responsible for the Application and its content. Apple has no obligation to furnish any maintenance and support services with respect to the Application. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Application. Apple is not responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application. Apple is a third-party beneficiary of this EULA, and upon your acceptance of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary.
16. Severability
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Universal Remote with respect to the Application.
